These Terms of Service (“Terms”) govern your access to and use of LingoPlace, a language learning platform operated by Eyal Lapid (“we”, “us”, or “our”). By accessing or using LingoPlace, you agree to be bound by these Terms.
1. Agreement to Terms
By creating an account or using LingoPlace, you confirm that:
- You are at least 18 years old
- You have the legal capacity to enter into a binding agreement
- You agree to comply with these Terms
If you do not agree to these Terms, you may not use LingoPlace.
2. Description of Service
LingoPlace is a language learning platform that provides:
- Interactive lessons and exercises
- AI-powered tutoring and conversation practice
- Progress tracking and personalized learning paths
- Tools to generate custom lessons and exercises for personal use
We may modify, update, or discontinue features of the service at any time. We will notify you of significant changes that affect your use of the service.
3. Account Registration
To use LingoPlace, you must create an account. You agree to:
- Provide accurate and complete information during registration
- Keep your login credentials secure and confidential
- Notify us immediately if you suspect unauthorized access to your account
- Maintain only one account per person
You are responsible for all activity that occurs under your account.
4. Acceptable Use Policy
You agree to use LingoPlace only for lawful purposes and in accordance with these Terms.
Prohibited Activities
You may not:
- Use automated tools, bots, or scripts to access the service
- Scrape, mine, or extract data from the platform
- Reverse engineer, decompile, or disassemble any part of the service
- Attempt to circumvent security measures or access restrictions
- Share your account credentials with others
- Impersonate another person or misrepresent your identity
- Use the service in any way that violates applicable laws
- Harass, abuse, or threaten other users or our staff
- Transmit malware, viruses, or other harmful code
- Interfere with or disrupt the service or its infrastructure
AI Feature Restrictions
Our AI-powered features are designed specifically for language learning. You may not:
- Use AI features for purposes other than language learning
- Attempt to extract, replicate, or reverse engineer AI models or training data
- Use AI features in an excessive or automated manner that resembles API usage
- Generate content that is harmful, illegal, or violates these Terms
We reserve the right to limit or revoke access to AI features if we detect misuse.
5. Artificial Intelligence Features
LingoPlace uses artificial intelligence technology to enhance your language learning experience. This section explains how AI is used, its limitations, and your responsibilities when interacting with AI-powered features.
AI-Powered Services
LingoPlace incorporates AI in the following ways:
- AI Tutoring: Conversational practice with AI language tutors that simulate real-world dialogue
- Personalized Learning: AI-driven recommendations for lessons, exercises, and learning paths based on your progress
- Content Generation: AI-assisted creation of custom exercises, examples, and explanations
- Feedback and Correction: Automated assessment of your responses with explanations and suggestions
When you use AI features, you are interacting with an artificial intelligence system, not a human. Our AI features are powered by third-party artificial intelligence providers, which may include large language model services. The specific providers we use are listed in our Privacy Policy.
By using AI features, your interactions (including text inputs and conversation history) are processed by these third-party providers in accordance with their respective terms and policies, as detailed in our Privacy Policy and AI Disclosure.
AI Limitations and Accuracy
AI technology has inherent limitations. You acknowledge and agree that:
- AI may produce errors: AI tutors may provide incorrect grammar explanations, inaccurate translations, or flawed pronunciation guidance
- AI may “hallucinate”: AI may generate plausible-sounding but factually incorrect information, including invented words, false cultural references, or non-existent grammar rules
- AI knowledge may be outdated: AI models are trained on data up to a certain date and may not reflect current language usage, slang, or recent cultural developments
- AI may produce inconsistent responses: The same question may yield different answers across sessions
- AI is not a qualified instructor: AI tutors are not certified language teachers and cannot replace professional instruction
We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. The accuracy, correctness, and appropriateness of AI outputs are not part of the service we contractually provide. AI features are provided “as is” without warranty of any kind.
User Responsibilities
When using AI-powered features, you are responsible for:
- Verifying information: You must independently verify any information provided by AI tutors before relying on it, especially for academic, professional, or certification purposes
- Exercising judgment: You must use your own judgment when evaluating AI responses and not treat AI output as authoritative
- Seeking qualified instruction: For formal language certification, academic requirements, or professional purposes, consult qualified human instructors or official resources
Do not rely solely on AI for critical decisions. This includes but is not limited to:
- Academic submissions or examinations
- Professional certifications or job requirements
- Legal, medical, or financial communications
- Official translations or interpretations
- Immigration or visa-related language requirements
AI Response Disclaimer
AI tutors and AI-generated content are provided for language learning practice only. AI responses are not intended as:
- Professional language instruction or certified teaching
- Authoritative linguistic or grammatical guidance
- Cultural, legal, or professional advice
- A substitute for human tutors, teachers, or language experts
You use AI features at your own risk. Our liability for AI-generated content is subject to the limitations set forth in Section 10 (Limitation of Liability). This includes potential consequences such as errors in language usage, failed examinations, miscommunications, or professional setbacks.
Nothing in this section affects any statutory rights that cannot be waived or limited by contract. If you are a consumer in the European Union, you retain all mandatory consumer protection rights under applicable law.
6. Generated Content
LingoPlace allows you to create custom lessons and exercises using our generators for your personal learning.
Ownership of Generated Content
Exercises, lessons, and other educational content created or generated through LingoPlace (“Generated Content”) are owned by LingoPlace. This includes content created using our generators, AI tools, templates, algorithms, or by our team and contractors.
You receive a personal, non-exclusive, non-transferable license to use Generated Content for your own language learning while your account is active.
Acknowledgments
By using LingoPlace, you acknowledge and agree that:
- Generated Content is created using LingoPlace’s proprietary tools, systems, methods, or personnel
- Similar or identical content may be generated for other users
- Generated Content may appear in or be incorporated into official LingoPlace courses
- You have no exclusivity rights to Generated Content
- LingoPlace may use, modify, or incorporate Generated Content into our official courses or other products without compensation or attribution to you
- Generated Content is for your personal, non-commercial use only
Your Responsibilities
- You are solely responsible for reviewing and verifying the accuracy of any Generated Content
- Generated Content—whether created by AI, human workers, templates, or any other method—may contain errors, inaccuracies, or inappropriate material
- You must ensure your use of Generated Content does not infringe third-party intellectual property rights
Disclaimer
We do not guarantee that Generated Content is accurate, complete, appropriate, unique, or suitable for any purpose. Generated Content may contain factual errors, offensive language, culturally insensitive material, or other inappropriate content. We are not liable for any reliance you place on such content.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of Generated Content or your violation of these Terms.
7. User-Submitted Content
LingoPlace allows you to create personal study materials such as notes and flashcards (“User Content”).
License to User Content
You retain ownership of User Content you create. By submitting User Content to LingoPlace, you grant us a non-exclusive, worldwide, royalty-free license to:
- Store, process, and display your User Content to provide the service
- Use ideas, concepts, and techniques from your User Content to develop and improve our courses and services
- Incorporate feedback and error reports into our platform
This license is perpetual and irrevocable for ideas and feedback, but your actual User Content (notes, flashcards) will be deleted upon your request per our Privacy Policy.
Content Guidelines
You are responsible for ensuring your User Content does not:
- Infringe third-party intellectual property rights
- Contain illegal, harmful, or offensive material
- Violate any applicable laws
8. Badges and Recognition
LingoPlace awards badges and other recognition for completing lessons, courses, or achieving milestones (“Badges”).
Nature of Badges
Badges are informal recognition of your learning activity on LingoPlace. They are not:
- Academic credentials, certificates, or diplomas
- Proof of language proficiency or competency
- Recognized by educational institutions or employers
- Equivalent to formal language assessments (such as CEFR, TOEFL, or IELTS)
No Guarantee
Earning a Badge does not guarantee any particular level of language skill. Badges reflect participation and completion, not assessed proficiency.
Use of Badges
You may share your Badges for personal purposes. You may not misrepresent Badges as formal credentials or use them in contexts that imply official certification.
9. Intellectual Property
Our Rights
LingoPlace, including its software, design, features, and branded content, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without permission.
Your Rights
You retain ownership of your personal data. For clarity, Generated Content (as defined in Section 6) is owned by LingoPlace, not by you. Our Privacy Policy explains how we handle your personal data.
Trademarks
“LingoPlace” and our logo are our trademarks. You may not use them without our prior written consent.
10. Limitation of Liability
Disclaimer of Warranties
LingoPlace is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to:
- Implied warranties of merchantability and fitness for a particular purpose
- Warranties that the service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or reliability of any content
Educational Content Disclaimer
LingoPlace is designed to support language learning but is not a substitute for formal education, certified instruction, or professional language assessment.
We do not guarantee that any content on LingoPlace—including official courses, lessons, exercises, AI-generated material, or any other educational content—is accurate, complete, appropriate, current, or suitable for any particular purpose. Educational content may contain:
- Grammatical or vocabulary errors
- Simplified or incomplete explanations
- Regional language variations that differ from other dialects
- Outdated usage or expressions
- Content that does not reflect the latest linguistic research
- Culturally insensitive or inappropriate material
You are responsible for verifying any information before relying on it for academic, professional, or certification purposes. We are not liable for any consequences arising from inaccuracies in educational content.
Limitation of Damages
To the maximum extent permitted by law:
- Our total liability to you for any claims arising from your use of LingoPlace is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of data, profits, revenue, or business opportunities
Statutory Rights
Nothing in these Terms affects any statutory rights that cannot be waived or limited by contract. If you are a consumer in the European Union, you retain all mandatory consumer protection rights under applicable law.
11. Account Termination
Termination by You
You may delete your account at any time through your account settings. Upon deletion, your data will be handled according to our Privacy Policy.
Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- We are required to do so by law
- Your account has been inactive for 24 months or more
For violations other than severe misconduct, we will provide notice and an opportunity to remedy the violation before termination.
Immediate Termination
We may terminate your account immediately and without notice for:
- Fraud or illegal activity
- Severe abuse or harassment
- Actions that threaten the security or integrity of our service
- Repeated violations of these Terms
Service Discontinuation
We reserve the right to discontinue LingoPlace entirely. If we do so, we will provide at least 60 days notice to active users.
Effect of Termination
Upon termination, your right to use LingoPlace ends immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, limitations of liability, and dispute resolution.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will notify you by email and/or through an in-app notice
- We will provide at least 30 days notice before changes take effect
- The updated Terms will indicate the “Last Updated” date
Your continued use of LingoPlace after the notice period constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your account before they take effect.
13. Dispute Resolution
Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@lingoplace.com to attempt to resolve any dispute informally. We will work in good faith to address your concerns within 30 days.
Governing Law
These Terms are governed by the laws of Israel, without regard to conflict of law principles.
Jurisdiction
Any disputes that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.
14. General Provisions
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding LingoPlace.
Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.
Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control. This includes, but is not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (such as cloud hosting or AI services).
If a force majeure event continues for more than 30 days, either party may terminate the agreement by providing written notice.
